Terms and conditions for businesses

This is a translation for your convenience. The German version is legally binding.

These general terms and conditions (hereinafter “Terms”) govern the use of askiana by businesses that receive requests via askiana. They apply in the version dated 17 October 2026 and are expressly accepted at the first sign in to the account area.

§ 1 Provider and scope

(1) askiana is a service provided by NexTao GmbH, Königsallee 27, 40212 Düsseldorf, Germany, registered at Amtsgericht Düsseldorf (Düsseldorf Local Court) under HRB 88821 (hereinafter “askiana” or “we”).

(2) These Terms apply to all businesses that sign in to the askiana account area (hereinafter “Business”). askiana is aimed at entrepreneurs (Unternehmer) within the meaning of § 14 of the German Civil Code (BGB). By signing in, the Business confirms that it is acting in the exercise of its commercial or independent professional activity.

(3) Deviating or supplementary terms of the Business do not apply, even if we do not expressly object to them.

§ 2 Services provided by askiana

(1) askiana receives requests from private individuals and companies (hereinafter “Requesters”) for services from various industries and passes them on to up to three businesses whose search profiles match the request.

(2) askiana only arranges the contact. Contracts for the services requested are concluded exclusively between the Business and the Requesters. askiana does not become a contracting party, representative or vicarious agent of either party.

(3) There is no entitlement to a particular number, frequency or type of requests, nor to a contract being concluded. We check the Requesters' information only for completeness and plausibility, not for accuracy.

§ 3 Access and account

(1) Access to the account area is by signing in with mico. This requires the company to be registered, either directly on micovis.com or via the registration form that micovis.com provides on askiana. The terms of micovis.com govern the registration.

(2) The Business keeps its access credentials secret and is responsible for all actions carried out under its access. If it suspects misuse, it informs us without delay.

(3) The information in the profile, in particular the company name, contact details and area of operation, must be accurate and kept up to date. It is communicated to the Requesters whose requests the Business receives.

§ 4 Search profiles and allocation

(1) With search profiles, the Business specifies which requests it wishes to receive, for example by industry, services, area, type of client, time frame and quantity. It can change, pause or delete search profiles at any time.

(2) Allocation takes place automatically based on the details of the search profiles. If more than three businesses match, priority is given to businesses that have received fewer requests in the last 30 days; in the event of a tie, chance decides. A request can be allocated to up to three businesses; there is no entitlement to exclusive supply.

(3) New or changed search profiles may also receive matching requests from the past 14 days, as long as these have been allocated to fewer than three businesses.

(4) We notify the Business by the method it has chosen (email, daily summary or transmission to its own system). The Business itself is responsible for ensuring that these channels are reachable. Every request can also be accessed in the account area.

§ 5 Obligations of the Business

(1) The Business offers only services that it is itself permitted and able to provide. It holds the necessary registrations, licences, entries and insurance policies, for example entry in the Register of Craftsmen (Handwerksrolle) for licensed trades in Germany.

(2) The Business contacts Requesters promptly, objectively and in a professional manner. If a Requester withdraws their request, the Business does not make any new contact unless it is already in discussion with that person.

(3) The Business may not sell requests, pass them on to third parties or use them for its own purposes beyond handling the respective request, in particular not for advertising without the consent of the person concerned.

(4) When making contact and preparing offers, the Business complies with the applicable statutory provisions, in particular competition, consumer protection and data protection law.

§ 6 Data protection

(1) With a request, the Business receives personal data of the Requesters. The Business is an independent controller within the meaning of Art. 4(7) GDPR for the further processing of this data.

(2) The Business processes this data only in order to answer the request, submit an offer and perform any contract resulting from it. It protects the data by appropriate technical and organisational measures, including when receiving it via its own system.

(3) If a Requester asks via askiana for their data to be deleted, we inform the Business. The Business then deletes the data unless it is required or permitted to retain it for other reasons. Irrespective of this, it deletes the data as soon as it is no longer required for the purposes stated.

§ 7 Remuneration

(1) Use of askiana is currently free of charge for businesses. There are no fees per request and no basic fees.

(2) If we introduce charges, we will announce this at least four weeks in advance in text form. Services subject to a charge only arise once the Business expressly agrees to them. If it does not agree, it incurs no costs; we may then stop allocating requests to it.

§ 8 Availability and further development

We endeavour to ensure trouble-free operation but do not owe uninterrupted availability. Maintenance, faults and events beyond our control may temporarily restrict use. We may further develop askiana and change functions, provided that the essential services under § 2 are maintained.

§ 9 Term, termination and blocking

(1) Use runs for an indefinite period. The Business can end it at any time without notice by deleting its search profiles and asking us to delete the account (info@askiana.com).

(2) We can end use by giving two weeks' notice in text form. The right to extraordinary termination remains unaffected.

(3) We may block a Business temporarily or permanently if it breaches these Terms, provides false information, evidently does not handle requests or if justified complaints from Requesters accumulate. In doing so, we take the legitimate interests of the Business into account.

§ 10 Liability

(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health and under the German Product Liability Act (Produkthaftungsgesetz).

(2) In cases of slight negligence, we are liable only for breach of an essential contractual obligation, the fulfilment of which makes proper use possible in the first place and on compliance with which the Business may regularly rely, and limited to the foreseeable damage typically occurring.

(3) We are not liable for the accuracy of the Requesters' information, for the conclusion and performance of contracts between the Business and Requesters, or for their solvency.

§ 11 Indemnification

The Business indemnifies askiana against claims by third parties asserted against askiana on the basis of a culpable breach by the Business of these Terms or of statutory provisions, in particular data protection and competition law, including reasonable costs of legal defence.

§ 12 Changes to these Terms

We notify the Business of changes to these Terms before they take effect, in the account area or in text form. The amended version applies as soon as the Business accepts it; until it is accepted, the account area cannot be used any further. If the Business does not accept the change, either party may end use in accordance with § 9.

§ 13 Final provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) If the Business is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contractual relationship is Düsseldorf.

(3) Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected.
